Waimz is a brand and product owned and operated by Humainz, Inc. (“Humainz™”). These Terms are a legal agreement between you and Humainz, Inc.

Welcome!

Waimz is the real-world LGBTQ+ social app — built for dating, communities, and discovering places to go. We use AI and location-awareness to help you find your people, your places, and your person, whether you're looking to date, make friends, find chosen family, or explore LGBTQ+-friendly venues and scenes near you.

These terms set forth our legal obligations to each other. They apply to your use of our services.

When we say "Waimz," "the Company," "we," "us," and "our" in these terms, we mean Humainz, Inc., the company that owns and operates the Waimz brand and app, together with its subsidiaries and related companies.

When we say "services" in these terms, we mean Waimz's services, apps, websites, and other products operated by Humainz, Inc.

When we say "you" or "your," we mean you, the individual using the services.

We also have a Privacy Policy, Community Guidelines, and additional policies that apply to your use of our services and are incorporated into these terms. These policies contain important information about your use of our services; please make sure you read them. By using Waimz's services, you agree to these terms.

AGE REQUIREMENTS

Waimz is strictly for adults aged 18 and older. By accessing our services, you confirm that you are at least 18 years old and meet the minimum age required by the laws in your country. Our services are not designed for nor directed toward anyone under the age of 18. We may take additional steps, including the use of third-party services, to determine whether you are old enough to create a Waimz account or access certain features. By creating a Waimz account or using our services, you accept and agree to be bound by these terms and represent that you have reached the age of majority where you live. If you are not yet 18, you may not use Waimz under any circumstances.

WHAT YOU CAN EXPECT FROM US

Waimz helps you connect with other LGBTQ+ adults through several core experiences: AI Matching (by orientation, interests, intent, and distance), Communities, Places & Scenes (LGBTQ+-friendly venue discovery), Radar (real-time proximity), and Chat.

Chat allows users to interact via text-based messages, as well as images, GIFs, emoji, and other uploadable media, one-to-one or in group conversations and communities. We're always evolving our services, and we may create other types of features in the future.

Users may create and join communities and choose who they connect with. All users must follow our Community Guidelines and other policies.

Waimz is designed to make connecting with the people you want to meet as easy as possible, while keeping you in control of who can see you. Trust and safety is a core feature, not fine print: verification, block/report, incognito/ghost mode, hide distance, and discreet app mode are built in.

Waimz's services may be personalized to each user based on a variety of factors, including their activity, the preferences they set, and the communities they belong to, so that you can see people, communities, places, and content that may be of interest to you (such as features or activity on Waimz, promotions from us, and sponsored content).

We're actively developing new features and products to improve Waimz. As part of these efforts, we may add or remove features, start offering new services, or stop offering some services entirely (or just in some places or for some users) if they no longer make sense from a business perspective or create risk for the Company, our users, or other third parties. While we try to avoid disruptions, we cannot guarantee that there will not be an outage or change to the services, and your content may not be retrievable due to such outages or changes. We are not liable for any such outages or service changes.

YOUR WAIMZ ACCOUNT

To access the services on an ongoing basis, you will need to create a Waimz account. You can provide a username and password, and a way of contacting you (such as an email address and phone number). You'll also need to provide your birthday. In some cases, you may be required to verify your account or provide additional information.

Before you create an account on Waimz, make sure you are eligible to use our Services. This section also details what you can and cannot do when using the Services, as well as the rights you grant the Company.

You are not authorized to create an account or use the Services unless all of the following are true, and by using our Services, you represent and warrant that:

You are an individual (i.e., not any body corporate, partnership, or other business entity) at least 18 years old;
You are legally qualified to enter a binding contract with Humainz, Inc.;
You are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country;
You are not on any list of individuals prohibited from conducting business with the United States (for example, the U.S. Treasury Department's list of Specially Designated Nationals or any similar government agency list) nor do you face any other similar prohibition;
You are not prohibited by law from using our Services;
You have not committed, been convicted of, or pled no contest to a felony or indictable offense (or crime of similar severity), a sex crime, or any crime involving violence or a threat of violence, unless you have received clemency for a non-violent crime and we have determined that you are not likely to pose a threat to other users of our Services;
You are not required to register as a sex offender with any state, federal, or local sex offender registry;
You do not have more than one account on our Services; and
You have not previously been removed from our Services or our affiliates' services by us or our affiliates, unless you have our express written permission to create a new account.

If at any time you cease to meet these requirements, all authorization to access our Services or systems is automatically revoked, and you must immediately delete your account, and we retain the right to remove your access to our Services without warning.

You agree to:

Comply with these Terms, and check this page from time to time to ensure you are aware of any changes;
Comply with all applicable laws, including without limitation, privacy laws, intellectual property laws, anti-spam laws, and regulatory requirements;
Use the latest version of the Website and/or App;
Review and comply with the Community Guidelines, as updated from time to time;
Take reasonable measures to protect the security of your login information.

You agree that you will not:

Misrepresent your identity, age, or affiliations with a person or entity;
Use the Services in a way that damages the Services or prevents their use by other users;
Use our Services in a way that interferes with, disrupts, or negatively affects the platform, the servers, or our Services' networks;
Use our Services for any harmful, illegal, or nefarious purpose;
Harass, bully, stalk, intimidate, assault, defame, harm, or otherwise abuse or cause psychological harm, including any conduct that targets a person's sexual orientation, gender identity, or expression;
Post or share Prohibited Content (see below);
Solicit passwords or personal identifying information for commercial or unlawful purposes from other users, or disseminate another person's personal information without their permission, including "outing" any person without consent;
Solicit money or other items of value from another user;
Use another user's account;
Use our Services in relation to fraud, a pyramid scheme, or other similar practice;
Use our Services for commercial sexual services or any unlawful sexual activity;
Use our Services in relation to any political campaign financing or for the purpose of influencing any election;
Violate the terms of the license granted to you by the Company;
Disclose private or proprietary information that you do not have the right to disclose;
Copy, modify, transmit, distribute, or create any derivative works from any user content or our content without the Company's prior written consent;
Express or imply that any statements you make are endorsed by Waimz or Humainz, Inc.;
Use any robot, crawler, or other automatic device to access or reproduce our services;
Upload viruses or other malicious code;
"Frame" or "mirror" any part of our Services without authorization;
Modify, adapt, sublicense, translate, sell, reverse engineer, decipher, decompile, or otherwise disassemble any portion of our Services;
Use or develop any third-party applications that interact with our Services without our written consent;
Use, access, or publish the Waimz application programming interface without our written consent;
Probe, scan, or test the vulnerability of our Services or any system or network;
Encourage, promote, or agree to engage in any activity that violates these Terms;
Create a new account after we suspend or terminate your account, unless you receive our express permission; or
Submit a report about a member's behavior or content that is false, misleading, or otherwise manifestly unfounded.

The license granted to you under these terms and any authorization to access the Services is automatically revoked in the event that you do any of the above.

You are responsible for the security of your account, and you agree to notify us immediately if you believe your account has been compromised.

If you get locked out of your account, we'll need to contact you at the email or phone number associated with your account.

CONTENT IN WAIMZ'S SERVICES

Prohibited Content

Waimz prohibits uploading or sharing content that:

Could reasonably be deemed to be offensive or to harass, abuse, or cause psychological distress;
Is pornographic, or depicts sexual acts (real or simulated, clothed or unclothed);
Contains nudity in any public space (including profiles, photos, bios, display names, community posts, and places), such as exposed genitals, anuses, or female nipples;
Contains sexually explicit imagery, including in private messages — Waimz does not permit the transmission of nude or pornographic images anywhere on the platform;
Constitutes unsolicited sexual content sent to a user who has not consented to receive it ("cyberflashing");
Sexualizes, or appears to sexualize, any minor in any way (a zero-tolerance violation reported to authorities);
Depicts or facilitates non-consensual sexual activity, or shares intimate images of a person without their consent (including "revenge porn," upskirt, or hidden-camera content);
Is violent or contains gore;
Is abusive, threatening, discriminatory, or that promotes hatred or bigotry, including hatred targeting sexual orientation or gender identity;
Encourages or facilitates any illegal activity;
Encourages or facilitates any activity that may result in harm;
Is defamatory, libelous, or untrue;
Relates to unauthorized commercial activities, including commercial sexual services, escorting, or "sugar" arrangements offered in exchange for money or goods;
Involves or facilitates the transmission of spam;
Contains any spyware, adware, viruses, or other malicious code;
Infringes upon any third party's rights;
Was not written by you, unless expressly authorized;
Includes the image or likeness of another person without consent;
Includes an image or likeness of a minor in any sexualized context, or any image or likeness of a minor unaccompanied by a guardian;
Is inconsistent with the intended use of the Services; or
May harm the reputation of Waimz or Humainz, Inc. or its affiliates.

The uploading or sharing of content that violates these Terms may result in the immediate suspension or termination of your account.

Your Content

When we say "your content" in these terms, we mean all the things you add to our services. This includes text, links, GIFs, emoji, photos, videos, documents, or other media.

You don't have any obligation to add content to the services. If you choose to, you are responsible for ensuring that you have the right to do so.

Your content is yours, but you give us a license to it when you use Waimz. By using our services, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, create derivative works of, display, and perform your content for the limited purpose of providing and improving our services.

We reserve the right to block, remove, and/or permanently delete your content if it breaches these terms.

Waimz's Content

Our services include some content that belongs to us. You may use our software as outlined in these terms. We retain all intellectual property rights in our content.

NO CRIMINAL BACKGROUND OR IDENTITY VERIFICATION CHECKS

Waimz does not conduct criminal background or identity verification checks on its users beyond any optional verification features we may offer. Use your best judgment when interacting with others.

YOU UNDERSTAND THAT WAIMZ DOES NOT CONDUCT CRIMINAL BACKGROUND OR IDENTITY VERIFICATION CHECKS ON ITS USERS. WAIMZ MAKES NO REPRESENTATIONS OR WARRANTIES AS TO THE CONDUCT, IDENTITY, HEALTH, PHYSICAL CONDITION, INTENTIONS, LEGITIMACY, OR VERACITY OF USERS.

YOU ARE SOLELY RESPONSIBLE FOR YOUR INTERACTIONS WITH OTHER USERS. WE CANNOT AND DO NOT GUARANTEE YOUR SAFETY. ALWAYS USE YOUR BEST JUDGMENT AND TAKE APPROPRIATE SAFETY PRECAUTIONS WHEN COMMUNICATING WITH OR MEETING NEW PEOPLE, INCLUDING WHEN MEETING AT VENUES OR EVENTS.

SOFTWARE IN WAIMZ'S SERVICES

License to our software. We grant you a worldwide, non-exclusive, personal, non-transferable license to download, install, and run our software, solely to access our services.

You may not copy, modify, create derivative works based upon, distribute, sell, lease, or sublicense any of our software or services.

Open source. Some of Waimz's services include software subject to separate open source license terms.

Third-party services. Waimz is not responsible for any third-party services.

INTELLECTUAL PROPERTY

The Waimz website and app and their entire contents, features, and functionality are owned by Humainz, Inc., its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. Waimz™ and Humainz™ are trademarks of Humainz, Inc.

WAIMZ'S PAID SERVICES

We won't charge you a fee to use the basic functionality of our services, but you may be able to pay for additional features and products, including a premium subscription. Subscriptions, pricing, billing cycles, and renewal terms are presented at the point of purchase and may be managed through your app store account.

RESTRICTIONS ON YOUR USE OF WAIMZ'S SERVICES

When using our services, you must comply with these terms and all applicable laws, rules, and regulations.

Fundamentally, do not do, try to do, or encourage or help others to do any of the following:

Don't use the services to do harm to yourself or others.
Don't use the services to do harm to Waimz or Humainz, Inc.
Don't use the services to do anything else that's illegal.

TERM & TERMINATION

Your right to terminate. You're free to stop using Waimz's services at any time. To terminate, delete your Waimz account through the Settings page.

Our right to terminate. We reserve the right to suspend or terminate your account and/or your access to some or all of our services with or without notice.

APPEALS

You can appeal any enforcement action we take under these terms or other policies.

INDEMNITY

You will indemnify and hold Humainz, Inc. and its officers, directors, employees, and agents harmless from and against any claims, liabilities, damages, and costs related to your access to or use of our services, your content, your violation of these terms, or your negligence or willful misconduct.

SERVICES "AS IS"

THE SERVICES ARE PROVIDED "AS IS." WE DISCLAIM ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT, AND NON-INFRINGEMENT.

DATA CHARGES

You are responsible for any mobile charges that you may incur for using our services.

LIMITATION OF LIABILITY

HUMAINZ, INC. LIMITS OUR LIABILITY TO YOU TO THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID US IN THE THREE MONTHS BEFORE YOU FIRST ASSERT A CLAIM OR (B) $100 USD.

SETTLING DISPUTES BETWEEN YOU AND HUMAINZ, INC.

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Informal Dispute Resolution

Most Disputes can be resolved informally. You agree that you will reach out to us at disputes@humainz.com before initiating a lawsuit or arbitration.

Governing Law, Jurisdiction, Class Action Waiver

Choice of Law. These terms shall be governed by the laws of the State of Delaware.

Class Action Waiver. You agree that any Dispute may only be pursued on an individual basis.

AGREEMENT TO ARBITRATE (U.S. AND CANADIAN RESIDENTS)

IF YOU'RE A U.S. OR CANADIAN RESIDENT, THIS SECTION CONTAINS MANDATORY ARBITRATION PROVISIONS.

You and Humainz, Inc. agree that binding arbitration is the sole means to resolve Disputes, subject to this Agreement to Arbitrate.

ARBITRATION MEANS THAT YOU WAIVE YOUR RIGHT TO A JURY TRIAL.

SURVIVAL

Any part of these terms that by their nature should survive after termination will survive.

UPDATES TO THESE TERMS

We may decide to update these terms. If these changes materially affect your Waimz use, we'll give you reasonable advance notice. If you continue to use our services after the changes have taken effect, you agree to the changes.

MORE IMPORTANT STUFF

Entire agreement. These terms cover the entire agreement between you and Humainz, Inc. for your use of our services.

Export Control. You agree to comply with all applicable import, export, and re-export control laws.

Waiver, severability, and assignment. If you fail to follow these terms and we don't immediately act, that doesn't mean we're giving up any of our legal rights.

SMS AND TEXT MESSAGING

By providing your phone number to Waimz (a brand of Humainz, Inc.) and opting in to receive text messages, you consent to receive recurring automated text messages related to your account, including verification codes, security alerts, and notifications. Message frequency varies. Message and data rates may apply. Text messaging is not required to use our services. You may opt out at any time by replying STOP to any message. For assistance, reply HELP or email support@humainz.com. Carriers are not liable for delayed or undelivered messages.

Humainz, Inc. will not share, sell, or distribute any mobile phone numbers or SMS opt-in information with third parties or affiliates for marketing or promotional purposes. Mobile information may only be shared with service providers (such as SMS delivery partners) strictly for the purpose of delivering the requested service.

APPLE APP STORE

If you download the Waimz app from the Apple App Store or use our app on an iOS device, Apple has no obligation to furnish any maintenance and support services. Apple is not responsible for addressing any claims relating to the Waimz app.
